International commercial sales law emerged from a long effort to harmonize the rules governing cross-border trade, which historically suffered from clashing national civil codes and common law doctrines. Early twentieth-century work by UNIDROIT produced the 1964 Hague Uniform Laws (ULIS and ULF), but these conventions attracted limited adherence, largely from Western European states, and were criticized as reflecting a narrow legal tradition. UNCITRAL, established in 1966, was tasked with producing a more universally acceptable instrument, culminating in the United Nations Convention on Contracts for the International Sale of Goods (CISG), adopted in Vienna in 1980 and entering into force in 1988. The CISG now governs a substantial share of world trade in goods, with parties including most major trading economies across the Americas, Europe, and East Asia. It establishes uniform rules on contract formation, the obligations of buyers and sellers, passing of risk, conformity of goods, and remedies for breach, while leaving questions of validity and property to domestic law. Notable holdouts — including the United Kingdom, India, and South Africa — have kept English common law and other regimes influential in practice, particularly in commodities trade and through choice-of-law clauses opting out of the Convention. Contemporary debate centers on the CISG's interpretation and gap-filling, the interplay with the UNIDROIT Principles of International Commercial Contracts, and the Convention's adaptation to digital commerce, supply-chain disruptions, and sustainability-linked sales. Divergent national case law on issues such as conformity, the Nachfrist period, and avoidance for fundamental breach continues to test the Convention's uniform-application mandate under Article 7, making sales law a live arena for harmonization rather than a settled regime.

International commercial arbitration developed as the preferred mechanism for resolving cross-border business disputes because national courts were viewed as parochial, slow, and unable to deliver readily enforceable judgments abroad. The legal architecture rests on two UN instruments: the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, now with more than 170 state parties, and the 1985 UNCITRAL Model Law on International Commercial Arbitration (amended in 2006), which has been adopted in whole or substantially by over 85 jurisdictions. Together they secure party autonomy, limited judicial review, and near-global enforceability of awards. The system is administered through a network of institutions — including the ICC International Court of Arbitration in Paris, the LCIA in London, SIAC in Singapore, HKIAC in Hong Kong, and the Vienna International Arbitral Centre — alongside ad hoc proceedings governed by the UNCITRAL Arbitration Rules. Seats such as Paris, London, Geneva, Singapore, and Hong Kong compete on the quality of their arbitration statutes and the supportiveness of their courts, while soft-law instruments from the IBA and emerging Prague Rules shape evidence, ethics, and procedure. Current debates concern transparency and legitimacy (particularly where commercial and investment arbitration overlap), third-party funding, diversity of arbitrators, the use of expedited and emergency procedures, the impact of sanctions on enforcement, and the integration of technology and remote hearings since the pandemic. UNCITRAL Working Group II continues to refine rules on expedited arbitration and early dismissal, while national courts in key seats are recalibrating the balance between party autonomy and public-policy review of awards.
