International commercial sales law governs cross-border transactions for the sale of goods, an area long fragmented by divergent national contract regimes. Early twentieth-century efforts under UNIDROIT produced the 1964 Hague Uniform Laws (ULIS and ULF), but these instruments attracted few ratifications and were criticised as reflecting predominantly Western European doctrine. The United Nations Commission on International Trade Law (UNCITRAL), established in 1966, was tasked with producing a more broadly acceptable text, culminating in the United Nations Convention on Contracts for the International Sale of Goods (CISG), adopted in Vienna in 1980 and entering into force in 1988. The CISG now binds over ninety states accounting for the bulk of world merchandise trade, providing uniform rules on contract formation, the obligations of buyers and sellers, passing of risk, and remedies for breach. It applies by default when parties have their places of business in different Contracting States, although parties may opt out under Article 6. Persistent controversies include the Convention's treatment of fundamental breach (Article 25), the reasonable time for notice of non-conformity (Article 39), the scope of exclusions such as consumer sales and services contracts, and the role of the UNIDROIT Principles of International Commercial Contracts in gap-filling under Article 7(2). Today the field is shaped by the interaction of the CISG with regional instruments, domestic codifications, and a growing body of case law collected through UNCITRAL's CLOUT database and the CISG Advisory Council's opinions. Notable holdouts — particularly the United Kingdom, India, and South Africa — continue to debate accession, while questions surrounding digital goods, software, sustainability clauses, and supply-chain disruption are testing the Convention's interpretive flexibility four decades after its adoption.

International commercial arbitration emerged as the preferred mechanism for resolving cross-border business disputes because it offers neutrality, procedural flexibility, and globally enforceable awards. Its modern architecture rests on the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, now ratified by more than 170 states, and the 1985 UNCITRAL Model Law on International Commercial Arbitration (as revised in 2006), which has been adopted in whole or in part by over 85 jurisdictions. Institutional rules from bodies such as the ICC, LCIA, SIAC, HKIAC, and SCC, together with the UNCITRAL Arbitration Rules for ad hoc proceedings, structure most contemporary practice. The core bargain of arbitration — limited judicial review in exchange for binding finality — has come under increasing pressure. Debates focus on the legitimacy of investor-state dispute settlement (ISDS), the cost and duration of proceedings, the transparency of awards, the diversity of arbitrators, and the treatment of third-party funding. The seat of arbitration remains decisive for the supervisory law, and jurisdictions such as England, France, Switzerland, Singapore, and Hong Kong compete to position themselves as arbitration-friendly hubs, while newer centres in the Gulf, mainland China, and Latin America seek to attract caseload. Current reform efforts include UNCITRAL Working Group III's negotiations on ISDS reform, the implementation of the 2019 Singapore Convention on Mediation, the rise of expedited and emergency arbitrator procedures, and evolving guidance on cybersecurity, remote hearings, and the use of artificial intelligence in proceedings. Sanctions regimes, sovereign-immunity challenges at the enforcement stage, and the treatment of awards set aside at the seat (the Hilmarton/Chromalloy/Putrabali line of cases) continue to test the coherence of the global enforcement framework.
