Modern international commercial sales law is anchored in the United Nations Convention on Contracts for the International Sale of Goods (CISG), adopted in Vienna in 1980 under the auspices of UNCITRAL and entering into force in 1988. The Convention emerged from decades of harmonization efforts, beginning with the 1964 Hague Conventions (ULIS and ULF), which were viewed as overly Western European in orientation. UNCITRAL, established in 1966, set out to draft a more universally acceptable instrument bridging civil law and common law traditions and accommodating developing economies. The result was a uniform set of rules governing contract formation, the obligations of buyer and seller, remedies for breach, passing of risk, and damages in cross-border sales of goods. Today the CISG is in force in over 95 states representing the bulk of world trade, including most major exporters and importers, though notable holdouts remain, such as the United Kingdom and India. Persistent debates concern the uniformity of interpretation across jurisdictions, the proper role of domestic law in filling gaps (Article 7), the scope of party autonomy and opt-outs (Article 6), and the treatment of issues like electronic contracting, software and digital goods, and standard terms battles. Tribunals and courts increasingly rely on the CISG Advisory Council opinions and the UNCITRAL Digest of case law to promote a coherent transnational jurisprudence. The Convention sits within a broader ecosystem of soft-law instruments — notably the UNIDROIT Principles of International Commercial Contracts, the Incoterms rules of the ICC, and the UN Convention on the Use of Electronic Communications in International Contracts (2005) — that together shape how cross-border sales disputes are argued and resolved. The current frontier issues include sustainability and ESG clauses in supply contracts, sanctions-driven force majeure and hardship claims, and the interaction of the CISG with consumer protection carve-outs and platform-mediated trade.

International commercial arbitration developed in the twentieth century as the preferred mechanism for resolving cross-border business disputes, offering parties a neutral forum, procedural flexibility, and globally enforceable awards. Its modern legal architecture rests on two pillars: the 1958 New York Convention on the Recognition and Enforcement of Foreign Arbitral Awards, now in force in over 170 states, and the 1985 UNCITRAL Model Law on International Commercial Arbitration (revised in 2006), which has been adopted in some form by more than 85 jurisdictions. Together these instruments enable arbitral awards to circulate across borders with limited grounds for refusal and provide a harmonized template for national arbitration statutes. Institutions such as the ICC, LCIA, SIAC, HKIAC, SCC, and ICDR administer thousands of cases annually under their own procedural rules. The field has expanded dramatically with globalization, but it now faces sustained pressure on multiple fronts. Critics question the cost and duration of proceedings, the diversity of arbitrators, the transparency of decision-making, and the legitimacy of investor-state arbitration in particular, prompting UNCITRAL Working Group III's ongoing reform of ISDS. Sanctions regimes, parallel state-court proceedings, anti-suit injunctions, and the seat-versus-venue debate have complicated enforcement, while the rise of third-party funding, cybersecurity concerns, and questions about the use of artificial intelligence in advocacy and decision-writing have generated new soft-law guidance from bodies such as the IBA and ICCA. Current flashpoints include the enforcement of intra-EU investment awards after the CJEU's Achmea and Komstroy rulings, the recognition of awards involving sanctioned parties, the competition among Singapore, Hong Kong, Paris, London, Geneva, and emerging seats such as Dubai and Riyadh, and the 2018 Singapore Convention on Mediation, which seeks to do for mediated settlements what the New York Convention did for arbitral awards. The Vis Moot's annual problems typically sit at the intersection of these developments and the CISG, requiring delegates to engage both substantive sales law and the procedural law of international arbitration.
