Investor-State Dispute Settlement (ISDS) emerged in the post-war era as states sought to depoliticise disputes between foreign investors and host governments. The 1965 ICSID Convention, negotiated under the auspices of the World Bank, created the International Centre for Settlement of Investment Disputes and established a neutral forum for arbitration between investors and sovereigns. The system expanded rapidly with the proliferation of bilateral investment treaties (BITs) from the 1990s onward, most of which contain consent to arbitration under ICSID, UNCITRAL, or SCC rules. Landmark cases such as AAPL v. Sri Lanka, Metalclad v. Mexico, and CMS v. Argentina shaped the doctrinal architecture of treaty-based investor-state claims. The core dispute today concerns the legitimacy, consistency, and balance of the regime. Critics point to inconsistent awards, perceived regulatory chill on legitimate public-interest measures (environment, public health, taxation), high arbitration costs, and the absence of an appellate mechanism. High-profile claims such as Philip Morris v. Uruguay, Vattenfall v. Germany, and the Yukos awards against Russia have intensified scrutiny. Several states, including India, South Africa, Ecuador, and Bolivia, have terminated BITs or withdrawn from ICSID; the EU has moved to terminate intra-EU BITs following the CJEU's Achmea and Komstroy rulings. Reform discussions are now centred in UNCITRAL Working Group III, which is examining structural options including an investment court, an appellate mechanism, codes of conduct for arbitrators, and third-party funding regulation. Pakistan's own experience — notably the Tethyan Copper (Reko Diq) award of nearly USD 6 billion and the Karkey Karadeniz case — has made it a salient jurisdiction in the global debate. The system stands at an inflection point between incremental reform and structural overhaul.

International investment protection obligations developed from the customary international law minimum standard of treatment of aliens, articulated in early cases such as Neer (1926) and the Chorzów Factory judgment of the PCIJ (1928), which established principles of full reparation for unlawful expropriation. After decolonisation, capital-importing states pressed for the Calvo Doctrine and the New International Economic Order, contesting the content of customary protection. The compromise that emerged was a dense network of BITs and investment chapters in FTAs (NAFTA, ECT, CPTPP, USMCA, RCEP), each codifying a recognisable set of substantive guarantees: fair and equitable treatment (FET), full protection and security, national treatment, most-favoured-nation treatment, protection against direct and indirect expropriation without prompt, adequate and effective compensation, and free transfer of funds. The core contemporary disputes concern the scope and content of these obligations. FET in particular has generated divergent interpretations — from the broad 'legitimate expectations' approach in Tecmed v. Mexico to narrower formulations tying FET to the customary minimum standard, as in the NAFTA Free Trade Commission's 2001 Note of Interpretation and now in USMCA and the 2019 Dutch Model BIT. Indirect expropriation jurisprudence wrestles with distinguishing compensable taking from non-compensable regulation, with tribunals applying the 'sole effects' or 'police powers' doctrines inconsistently. Umbrella clauses, MFN importation of dispute settlement provisions (Maffezini and its progeny), and the interaction between investment obligations and human rights, environmental, and tax measures remain contested. States are responding by drafting more precise treaty language: carve-outs for legitimate regulatory measures, exhaustive lists of FET elements, denial-of-benefits clauses, and counterclaim provisions. The 2016 India Model BIT, the EU's approach in CETA, and the African Continental Free Trade Area's investment protocol all reflect a rebalancing toward state regulatory space. The challenge before tribunals and treaty negotiators is to deliver predictable protection for cross-border capital while preserving sovereign authority to regulate in the public interest.
